Welcome to Clyck List! These Terms of Service ("Terms") govern your access to and use of the Clyck List website, software, and services (collectively, the "Service"), provided by Clyck List ("we," "our," or "us").

Please read these Terms carefully. They are a binding legal agreement between you and Clyck List. By creating an account, or by accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you may not use the Service.

1. Definitions

  • "User," "You," "Your": The individual or legal entity registering for or using the Service.
  • "User Content": Any data or information that you submit, create, or generate through the Service. This includes, but is not limited to, the prospect lists you build.
  • "Prospect Data": A specific type of User Content referring to the information about third-party individuals that you collect and compile using our Service, such as names, company names, and work email addresses.

2. Eligibility and Account Registration

  • Eligibility: To use the Service, you must be at least 18 years old and have the legal authority to enter into this agreement. The Service is intended for professional and business use only.
  • Account Information: You agree to provide accurate, current, and complete information during the registration process, including your full name, company name, and country. You are responsible for keeping this information up-to-date.
  • Account Security: You are responsible for safeguarding your account password and for all activities that occur under your account. You must notify us immediately at hello@clycklist.com of any unauthorized use of your account.

3. The Service & License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service for your internal business purposes during the term of your subscription.

4. User Responsibilities & Acceptable Use

Your use of the Service, and specifically your collection and use of Prospect Data, is your sole responsibility. By using the Service, you represent and warrant that:

  • You are the Data Controller: You acknowledge that you are the "Data Controller" of the Prospect Data. Clyck List acts as your "Data Processor."
  • Compliance with Laws: You will comply with all applicable laws, including anti-spam and privacy regulations (e.g., GDPR, CAN-SPAM, CCPA, CASL).
  • Prohibited Activities: You agree not to:
    • Engage in spamming or any bulk unsolicited emailing.
    • Collect data for illegal, unethical, or harassing purposes.
    • Scrape, reverse-engineer, or decompile the Service.
    • Resell or redistribute raw data as a standalone product.
    • Upload malware or malicious code.
    • Impersonate another person or misrepresent affiliation.

Violation of this policy may result in account suspension or termination without refund.

5. User Content and Data

  • Ownership: You retain all ownership rights to your User Content, including Prospect Data.
  • License to Us: You grant Clyck List a non-exclusive, royalty-free license to use your User Content for the purpose of operating the Service.
  • Responsibility: You are solely responsible for the content and legality of your User Content.

6. Fees, Payments, and Subscriptions

  • Subscription Fees: You agree to pay applicable fees. Prices are in USD unless noted otherwise.
  • Billing: Payments are processed by Stripe under their terms and policies.
  • Automatic Renewal: Subscriptions renew automatically unless canceled prior to renewal.
  • Price Changes: We may update pricing and will notify you in advance.
  • Refund Policy: All fees are non-refundable.

7. Third-Party Integrations

You may connect your account to CRMs like HubSpot or Salesforce. Data sharing with such services is governed by their respective policies. We are not responsible for third-party services.

8. Intellectual Property

Excluding your User Content, all elements of the Service—including branding, design, and code—are owned by Clyck List or its licensors. Do not use our IP without permission.

9. Term and Termination

  • Term: These Terms apply while you have an active account.
  • Termination by You: Cancel anytime via account settings.
  • Termination by Us: We may terminate your account at our discretion if you violate the Terms.
  • Effect of Termination: Access ends immediately; content is deleted per our Privacy Policy. Certain sections survive termination.

10. Disclaimers of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

WE DO NOT GUARANTEE THE ACCURACY OR VALIDITY OF ANY PROSPECT DATA.

USE THE SERVICE AND DATA AT YOUR OWN RISK. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE EXTENT PERMITTED BY LAW, CLYCK LIST SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE FEES PAID BY YOU IN THE PRIOR 12 MONTHS.

12. Indemnification

You agree to indemnify and hold Clyck List harmless against claims, liabilities, and expenses arising from your use of the Service, violation of these Terms, or misuse of Prospect Data.

13. General Provisions

  • Changes to Terms: We may update these Terms and notify you of significant changes.
  • Entire Agreement: These Terms and the Privacy Policy constitute the full agreement between you and Clyck List.
  • Severability: If any part is unenforceable, the remainder still applies.
